Website, Messenger and Assisted Booking Channels

1 INTRODUCTION AND ACCEPTANCE

These Seller Terms of Service (“Terms”) govern the vehicle appraisal, Dealer-introduction and transaction-facilitation services provided by Mobility Technologies Inc., doing business as Mobee Cars Philippines (“Mobee”).

The “Seller” refers to any person who requests, arranges, confirms or proceeds with Mobee’s services, whether as the registered vehicle owner or as a person acting on the owner’s behalf. A person acting on behalf of the registered owner represents that they have the necessary authority to do so.

The Seller accepts these Terms by requesting, confirming, rescheduling, attending or otherwise proceeding with a booking or appraisal after these Terms have been made available.

Acceptance may be communicated or demonstrated through the website, telephone, Messenger, SMS, email or any other communication channel, including through words, instructions or conduct showing that the Seller wants Mobee to proceed. This includes attending the appointment or permitting Mobee’s Vehicle Appraiser to begin the appraisal.

Mobee may retain relevant booking information, Seller and vehicle identifiers, dates and times, communication records, instructions, confirmation methods, and the applicable versions of these Terms and the Privacy Policy as evidence of acceptance. The absence of any particular record or confirmation format does not, by itself, mean that the Seller did not accept these Terms.

2 SELLER AUTHORITY AND BOOKING INFORMATION
3 MOBEE SERVICES AND ROLE

Mobee may receive Vehicle information, schedule and conduct the appraisal, take photographs and videos, review available documents, prepare an appraisal report, present relevant Vehicle information to participating Dealers, communicate Dealer offers and facilitate a direct sale between the Seller and the selected Dealer. Mobee's standard Vehicle appraisal and Dealer-offer collection service are free to the Seller, and Mobee doesnot charge the Seller a service fee for the standard car-selling process.

Mobee is not automatically the buyer or owner of the Vehicle merely because Mobee arranges the appraisal, communicates an offer, coordinates documents, facilitates payment or attends the handover. When a sale proceeds, the selected Dealer is intended to be the direct buyer and the Seller-to-Dealer Deed of Absolute Sale remains a separate closing document.

4 VEHICLE APPRAISAL AUTHORIZATION

By confirming the booking, the Seller authorizes Mobee's Vehicle Appraiser to conduct a reasonable, non-destructive appraisal of the Vehicle. The appraisal may include:

Mobee will not dismantle major components, conduct destructive testing, repair the Vehicle or incur material third-party costs without separate authorization

6 SELLER DISCLOSURES AND VEHICLE INFORMATION

The Seller must disclose known material information that may affect Vehicle value, safety, legality or transferability, including major accident or structural damage, flood or fire history, airbag deployment, engine or transmission replacement, material mechanical defects, warning lights, odometer replacement or alteration, rental, fleet or ride-hailing use, financing, chattel mortgage, encumbrance, registration issue, ownership dispute or pending insurance claim.

The Seller authorizes Mobee to collect, store and use relevant Vehicle information, appraisal findings, photographs, videos and document information for appraisal, Dealer evaluation, offer collection, transaction preparation, fraud prevention, quality review and dispute resolution. Mobee will process only information reasonably necessary for these purposes and in accordance with the Seller Privacy Notice.

7 PRESENTATION TO DEALERS AND OFFERS

Mobee may provide participating Dealers with relevant Vehicle information, including make, model, year, variant, mileage, general location, photographs, appraisal findings and registration or financing status. During offer collection, Mobee will not ordinarily share the Seller's direct contact details, complete government ID numbers, unredacted ID images or exact home address with all participating Dealers. Such informationmay be disclosed only when reasonably necessary for verification, closing, handover or legal compliance and in accordance with the Seller Privacy Notice.

8 SEPARATE SALE AND CLOSING DOCUMENTS

Booking confirmation and appraisal do not create a binding Vehicle sale. A Vehicle transaction proceeds only after the Seller separately accepts in writing or through an approved electronic record the selected Dealer, final purchase price, payment beneficiary, payment method and closing conditions.

Separate records may include the Seller's sale acceptance, direct Seller-to-Dealer Deed of Absolute Sale, payment instruction, Seller Acknowledgment Receipt, financing settlement documents and the Vehicle Payment Acknowledgment, Handover and Final Acceptance Form.

9 DOCUMENTS AND VERIFICATION

Mobee may request and verify government-issued identification, OR/CR, proof of address, authority documents, company resolutions, financing statements, chattel-mortgage releases, bank-beneficiary details, prior deeds, estate documents and other records reasonably required for appraisal or closing.

Mobee may place a transaction on hold where identity, authority, ownership, Vehicle details, documents or beneficiary information cannot be reasonably verified.

10 PRIVACY AND ELECTRONIC COMMUNICATIONS

Mobee will process Seller and Vehicle information in accordance with the Seller Privacy Notice. The Privacy Notice explains the information collected, purposes of processing, Dealer and service-provider disclosures, retention, security, data-subject rights and contact details. The Seller agrees that Mobee may send operational communications through website, Messenger, SMS, telephone, email, electronic-signature platform or another approved channel for booking, appraisal, offers, verification, payment, handover and transaction updates. Optional marketing consent must be obtained separately.

11 CANCELLATION, RESCHEDULING AND NO-SHOW
12 CARE, LIABILITY AND SERVICE LIMITATIONS

Mobee shall exercise reasonable care while appraising or moving the Vehicle. Mobee is responsible for direct physical damage to the extent proven to have been caused by its fraud, willful misconduct or negligence

To the extent permitted by law, Mobee is not responsible for pre-existing damage, latent defects, ordinary wear, mechanical failure not caused by Mobee, inaccurate Seller disclosure, personal belongings left in the Vehicle, force majeure, indirect loss or matters outside Mobee's reasonable control.

The appraisal is not a manufacturer inspection or warranty and may not identify every hidden, internal, intermittent or inaccessible defect.

13 SUSPENSION, GOVERNING LAW AND CONTACT

Mobee may suspend or refuse service where identity or authority is unclear, documents appear false, fraud or unlawful activity is suspected, the Vehicle appears unsafe or stolen, the Seller threatens personnel or another material legal, safety or operational concern exists.

These Terms are governed by the laws of the Republic of the Philippines. Version 1.1 is effective from 3 August 2026.
